Key Responsibilities:

1. Corporate Governance and Statutory Compliance (Companies Act, 2013 & Others):

• Ensure strict adherence to the Companies Act, 2013, its rules, and other applicable corporate laws.

• Advise the Board of Directors and senior management on statutory obligations, corporate governance best practices, and any amendments or new regulatory requirements introduced by the Ministry of Corporate Affairs (MCA) or other relevant authorities.

• Conduct regular compliance checks and due diligence to ensure ongoing adherence to all statutory provisions.

• Liaise effectively with external regulators (e.g., ROC, MCA), legal counsels, auditors, and other professional advisors.

2. Board, Committee & Shareholder Administration:

• Organize and manage Board of Directors meetings, Committee meetings (e.g., CSR Committee), including preparing accurate agendas, drafting and circulating notices, and ensuring timely distribution of supporting board papers.

• Record detailed and precise minutes of all Board and Committee meetings, and circulate them as per statutory timelines.

• Ensure proper quorum and procedural compliances for all meetings as per the Companies Act, 2013.

• Arrange and manage Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs), ensuring compliance with all legal formalities, secretarial standards, and effective shareholder participation.

• Maintain and update statutory registers diligently, including Register of Members, Directors, KMP, Share Transfer Register, etc.

3. Statutory Filings and Reporting:

• Ensure timely and accurate filing of all necessary e-forms and documents with the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA) portal.

• Manage and ensure the validity of Director Identification Numbers (DINs) and Digital Signature Certificates (DSCs) for directors and key managerial personnel.

• Oversee the preparation and submission of other regulatory filings as required by various authorities.

4. Legal, Secretarial & Administrative Support:

• Safeguard all company statutory records, documents, and seals, ensuring their security and proper maintenance.

• Maintain and update the company's master data on the MCA portal and ensure consistency across all official platforms.

• Provide secretarial and legal support for corporate actions such as mergers, acquisitions, amalgamations, restructuring, capital alterations etc. The information contained in this document was classified as Restricted

5. Qualifications:

• Must be a Qualified Company Secretary (CS) holding a valid membership with the Institute of Company Secretaries of India (ICSI).

• Bachelor's degree in Law (LLB), Commerce (B.Com), Business Administration (BBA), or

a related field will be an added advantage.

• Proven experience as a Company Secretary, with significant exposure to statutory compliance specifically for a Private Limited Company in India.

• In-depth, practical knowledge of the Companies Act, 2013, Secretarial Standards (SS-1 & SS-2), and other relevant Indian corporate laws and regulations.

6. Skills and Competencies:

• Exceptional organizational skills, meticulous attention to detail, and a high degree of accuracy in all tasks.

• Strong communication (written and verbal) and interpersonal skills, capable of effectively interacting with the Board, senior management, shareholders, and regulatory authorities.

• High level of integrity, discretion, and confidentiality in handling sensitive corporate information.

• Ability to work independently, manage multiple priorities, and meet stringent deadlines in a fast-paced environment.

• Proficiency in MS Office Suite and experience with MCA e-filing portal and relevant company secretarial software.

• Strong analytical, problem-solving, and research abilities.

• Proactive approach to identifying potential compliance risks and suggesting solutions.
