Responsibilities

Corporate Governance

<ul>
<li>Develop, implement, and maintain a robust global corporate governance framework that aligns with international best practices and regulatory requirements.</li>

<li>Advise the Board of Directors and its committees on governance matters, including directors' duties, conflicts of interest, and compliance with applicable laws and regulations.</li>

<li>Monitor and assess emerging governance trends and regulatory changes and proactively implement necessary updates to policies and procedures.</li>

<li>Ensure the company's adherence to its Articles of Association (or equivalent constitutional documents) and relevant corporate governance codes.</li>

Legal and Regulatory Compliance

<ul>
<li>Oversee the company's compliance with all applicable laws, regulations in various jurisdictions.</li>
</ul>

<ul>
<li>Manage the preparation and filing of statutory returns, reports, and other legal documents with relevant regulatory authorities.</li>
</ul>

<ul>
<li>Advise on legal and procedural matters, including those related to FEMA, intellectual property rights, and other relevant legislation.</li>
</ul>

<ul>
<li>Coordinate with external legal counsel to obtain expert advice on complex legal and regulatory issues.</li>

Board and Committee Support

<ul>
<li>Manage all aspects of Board and committee meetings, including preparing agendas, distributing materials, recording minutes, and tracking action items.</li>
</ul>

<li>Ensure that Board members receive timely and accurate information to make informed decisions.</li>
</ul>

<ul>
<li>Facilitate effective communication and collaboration between Board members, executive management, and other stakeholders.</li>
</ul>

Shareholder Relations

<ul>
<li>Serve as a primary point of contact for shareholders, addressing inquiries and managing shareholder communications.</li>
</ul>

<ul>
<li>Oversee the organization and management of Annual General Meetings (AGMs) and other shareholder meetings.</li>
</ul>

<ul>
<li>Manage share transfers, dividend payments, and other shareholder-related activities.</li>
</ul>

Corporate Records Management:

<ul>
<li>Maintain accurate and up-to-date corporate records, including registers of members, directors, and other key information.</li>
</ul>

<ul>
<li>Ensure the security and confidentiality of all corporate documents and information.</li>
</ul>

<ul>
<li>Establish and administer registered office and ensuring the procedures for the public inspection of company documents.</li>
</ul>

Risk Management

<ul>
<li>Be involved in risk management and corporate responsibility matters.</li>
</ul>

<ul>
<li>Identify and assess potential legal and regulatory risks, and develop strategies to mitigate those risks.</li>
</ul>

<ul>
<li>Ensure the company has adequate Directors' &amp; Officers' (D&amp;O) insurance coverage.</li>
</ul>

Strategic Counsel

<ul>
<li>Provide strategic advice to the Board and executive management on a wide range of corporate matters, including mergers and acquisitions, corporate restructuring, etc.</li>
</ul>

<ul>
<li>Contribute to the development of long-term business strategies and plans, ensuring alignment with corporate governance principles and legal requirements.</li>
</ul>
